1. Who we are and what this service is

FounderRails is a personal advisory and introduction service operated by Sergey Kuznetsov, an individual entrepreneur (autónomo) registered in Spain, NIE Z2933137K, address Carrer de Regàs 15, 08006 Barcelona, Spain, e-mail [email protected] («we», «the Operator»). We help founders identify and approach banking, e-money, payment and card providers, and we provide paid one-off consultations.

2. What we are not

We are not a bank, credit institution, e-money institution, payment institution or crypto-asset service provider, and we do not provide any regulated financial service. We never hold, control or transmit client funds. We do not submit or complete applications on your behalf, and we do not act in the name of any provider. The decision to onboard you is always made by the provider under its own KYC, AML and sanctions procedures. Nothing on this site or said in a consultation is legal, tax, investment or financial advice.

3. Introductions

Introductions are free for you. We may receive referral commissions or revenue share from providers (see the Referral disclosure). We do not guarantee that any provider will accept you, respond within any timeframe, or offer any particular terms.

5. Your obligations

You confirm that the information you share with us is accurate, that your business is lawful, and that you are not acting on behalf of a person or entity subject to sanctions. We may decline or discontinue service at our discretion, including where a case appears to involve sanctions exposure, evasion of controls or unlawful activity.

6. Intellectual property

The content of this site and the materials shared in consultations are ours. You may use them for your own business; you may not resell or republish them.

7. Liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with this service is limited to the fees you actually paid us in the 12 months preceding the event giving rise to the claim, and we are not liable for indirect or consequential loss, loss of profit, loss of business or regulatory penalties. Nothing limits liability for fraud or wilful misconduct, or any liability which cannot be limited by law. Consumer rights under mandatory law remain unaffected.

8. Governing law and disputes

These terms are governed by Spanish law. Disputes are subject to the courts of the Operator's domicile in Spain, without prejudice to any mandatory consumer forum. EU consumers may also use the European Commission's online dispute resolution platform.

9. Changes

We may update these terms; the version published on this page applies from its effective date.
